1. Agreement

These Terms & Conditions ("Terms") govern your access to and use of the UNIVERSUS website, courses, memberships, and coaching services (the "Service"). The Service is operated by UNIVERSUS ("UNIVERSUS", "we", "us"). By accessing or using the Service you contract with UNIVERSUS and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the authority to enter into these Terms. You agree to provide accurate information, keep it updated, maintain the confidentiality of your account credentials, and accept responsibility for all activity under your account.

3. The Service

UNIVERSUS provides educational courses and private coaching on lifestyle, physical presence, financial topics including trading, diet, and cognitive performance. We grant you a limited, non-exclusive, non-transferable licence to access the content included in the plan you purchase, for your personal use only. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

4. Payments and Billing

Payments and recurring subscription billing are securely processed by Stripe. Stripe may calculate and collect applicable taxes, provide fraud and dispute protection, issue transaction emails, and support payment-related inquiries. Stripe's Services Agreement is available at stripe.com/legal/ssa. Memberships renew monthly until cancelled. You may cancel your subscription at any time; access continues until the end of the paid period.

5. Acceptable Use

You must not misuse the Service, including by:

• Using the Service for any unlawful purpose, fraud, or spam;
• Infringing intellectual property rights, or copying, reselling, or redistributing course content;
• Introducing malware, probing, scanning, scraping, or otherwise interfering with the security or operation of the Service;
• Reverse engineering the Service or circumventing technical limits, paywalls, or access controls.

6. Educational Content — No Professional Advice

All content is provided for general educational purposes only. Nothing in the Service is medical, pharmaceutical, financial, investment, legal, or tax advice, and nothing is a recommendation to buy or sell any asset, security, cryptocurrency, or token. Trading involves substantial risk of loss. Any decisions you make are your own responsibility; consult a licensed professional before acting. No outcome is guaranteed.

7. Intellectual Property

UNIVERSUS retains all ownership of the Service and its intellectual property, including course materials, software, documentation, and branding. Except for the limited licence in Section 3, no rights are granted to you.

8. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. To the fullest extent permitted by law, UNIVERSUS will not be liable for indirect, incidental, consequential, or special damages (including loss of profits, data, or goodwill), and our aggregate liability to you is capped at the fees you paid to us in the twelve months preceding the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted by law.

9. Suspension and Termination

We may suspend or terminate your access to the Service at any time for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination your access ends; you may contact us within 30 days to request an export of any personal data we hold about you.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules, and the courts of the State of Florida, USA will have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where consumer protection law in your country of residence gives you the right to bring a claim in your local courts.

11. General

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays caused by events beyond our reasonable control. If any provision is found unenforceable, the remainder stays in effect.
